Yahoo explores alliance with News Corp.

Yahoo Inc. hopes media conglomerate News Corp. can rescue it from a Microsoft Corp. takeover — or at least prove the slumping Internet pioneer is worth more money than its unsolicited suitor wants to pay.

A News Corp. partnership could provide Yahoo with the escape hatch that the Sunnyvale-based company has been seeking since Microsoft pounced with its takeover bid two weeks ago.

If nothing else, the possibility of Yahoo joining forces with one of the world's largest media empires could prompt Microsoft to sweeten its bid, which was originally valued at $44.6 billion, or $31 per share.

Yahoo is believed to want at least $40 per share, or about $56 billion.

The details of the proposed News Corp. alliance were still being worked out Wednesday, according to a person familiar with the situation. The person didn't want to be identified because the talks are considered confidential.

Most analysts believe Microsoft will do whatever necessary to buy Yahoo because the world's largest software maker views the acquisition as the best way to counteract Google Inc.'s dominance of the online search and ad markets — a battleground that is rapidly reshaping the technology and media industries.

"Buying Yahoo makes tremendous sense for Microsoft, more sense than any other company in the world," said Ken Marlin, a New York investment banker specializing in media and technology deals.

Both The Wall Street Journal and a prominent blog, TechCrunch, reported that News Corp. is interested in folding its popular online social network, MySpace.com, and other Internet assets into Yahoo — an idea that first came up last year. News Corp. owns The Wall Street Journal.

News Corp. and a private equity firm reportedly would buy significant stakes in Yahoo as part of a complex deal designed to push the Sunnyvale-based company's market value toward $50 billion.

A Yahoo spokesman said the company continues to "carefully and thoroughly" evaluate alternatives that will enrich its long-term shareholders. Yahoo's board reportedly is to meet again Thursday or Friday to consider the company's next move.

News Corp. spokeswoman Teri Everett declined to comment on the Yahoo talks.

Yahoo shares climbed 31 cents to $29.88 Wednesday while Microsoft shares gained 62 cents to $28.96 News Corp. shares slipped 10 cents to finish at $19.93.

Based on Microsoft's current market value, its cash-and-stock bid for Yahoo now stands at $29.50 per share, or about $41 billion.

Yahoo rejected Microsoft's offer Monday, saying it "substantially undervalues" assets that include one of the Internet's biggest audiences and best-known brands.

Microsoft has held firm so far, calling its original bid "full and fair" while threatening to launch a hostile takeover attempt.

"What's unclear now is whether Yahoo is just trying to get a higher offer or if the company really doesn't want to sell to Microsoft," said Peter Falvey, a technology investment banker with Revolution Partners.

Although News Corp. Chairman Rupert Murdoch unequivocally said during a conference call last week that his New York-based company isn't interested in an outright acquisition of Yahoo, he didn't rule out the possibility of a deal involving MySpace.

When asked whether he might renew the previous discussions with Yahoo about a MySpace alliance, Murdoch replied: "I think that day has passed, but you never know."

A News Corp. stake in Yahoo might hinge on whether the two sides can agree on how much MySpace is worth.

News Corp., which also owns the Fox television and movie studios in addition to its newspaper and Internet holdings, bought MySpace for $580 million in 2005. But the social network's value has soared as its audience has swelled above 100 million users, creating a potential advertising gold mine.

Ironically, Murdoch and his lieutenants can point to a recent Microsoft deal to make a case that MySpace is worth more than $15 billion.

Facebook Inc., which owns the Internet's second largest social network behind MySpace, now arguably has a $15 billion market value, based on Microsoft's purchase late last year of a 1.6 percent stake for $240 million.

Despite its popularity, MySpace hasn't established itself as an effective advertising vehicle. Google last month cited lackluster returns from its ad partnerships with MySpace and other social networks as one of its few disappointments during the fourth quarter.

Besides talking with News Corp., Yahoo also reportedly has explored an advertising partnership with Google, its biggest rival. Although Google probably could help elevate Yahoo's drooping profits, the alliance would likely face antitrust hurdles because the companies operate the Web's two biggest ad networks and eliminating one would reduce competition.

Reports of a possible merger with Time Warner Inc.'s AOL appear to be more rumor than fact, said the person familiar with News Corp. negotiations.

Vancouver Mayor Larry Campbell launched an uncompromising attack against marijuana prohibition this week and directly accused US politicians of preventing Canada from legalizing pot. The highly respected former drugs cop also ridiculed decriminalization as simply helping drugs gangs, claimed a planned crackdown by new Conservative Prime Minister Stephen Harper will simply boost the prison industry and called for tobacco-style education policies to reduce consumption. "The idea that marijuana is virtually any of the things that the drug warriors in the United States say is ludicrous. They're much like the Conservative government -- they don't believe in scientific fact," Mayor Campbell told the Province newspaper. "It's all ideology -- if they're wrong on this, then what else are they wrong on? They won't even allow hemp. That's how stupid these people are -- and they are stupid. I describe 'White House drug czar John" Walters as a moron, and he is truly a moron," he said. The article coincided with a feature in the UK Sunday Times about middle class drug taking mothers in which an anonymous writer chatted candidly about chopping out lines of cocaine with 'city bankers, lawyers, housewives, entrepreneurs and professional urbanites' while their young children slept upstairs. "For my group of thirty-something middle-class mums, hard drugs always have been, and probably always will be, a part of life," she declared. "Our group is not on the fringe of society. We're an entire demographic. Ours is the generation that went raving every single weekend in the 1990s. It didn't stop us from getting good degrees and jobs," she added. Meanwhile in Birmingham, West Midlands Police tested pubs around Castle Vale, Sutton Coldfield, Erdington, Great Barr and Kingstanding for cocaine use recently and announced this week that 70 out of 71 tested positive with 'high levels of cocaine residue' found on flat surfaces in the toilets. "Cocaine is being used as a recreational drug," PC Steve Wood told Castle Vale newspaper the Vale Mail, "Unlike heroine users, many cocaine users have little or no contact with police for other offences. But we want to get across the message that using cocaine is illegal, and often induces violent and antisocial behaviour" he added. 'The West Midlands has the second lowest levels of illegal drug usage in the country,' the Vale Mail added.

By the way I'm all for Microsoft and Yahoo alliance. If G0ogle tries to give microsoft a hard time they should disable all google applications in their operating system. google is only skimming off a major chunk off cash by working off the Microsoft base. They should not even try to challange MIcrosoft in any way. Microsoft should be able to block them out  it since in a open market they should be allowed to sell anything as long as the consumers buy it.

Nah I have never tried it neither with a doll nor a mannequin. Its just an interest in this bizzaro human nature who prefer non living things to actual human beings.

As far as yahoo and news corp....I just don't like Murdoch and his right wing Spinderella Nutcoos since the 2000 general election.

HAHAHA...talking of bizarre human nature of intimacy with non-living things, i read that in few years time, human will marry with robots--robots with emotions that is. i wonder how a conjugal life with robots gonna be. Any thoughts BC? :D

BTW, I firmly believe that Google will still keep on dominating online search and market for many years to come.

My comment on this merger: Yahoo's founders would do anything to avoid this...A takeover means that the legacy created by the internet search engine pioneer would be destroyed completely.  Their survival as a "Yahoo" brand is doomed to the history books!  Jerry Yang would go down in history as being the pioneer of a defunct business (a failure by all means).  BTW, In conventional practices, whenever a horizontal integration occurs, the one being bought off is usually just sucked dry; Chase and Bank One comes to mind primarily.  For Microsoft, they have all to gain and we may see a hostile takeover here (something we haven't seen for a while on the street).  Why would MSFT want to do that: First of all, to gain opportunities of market growth more quickly than through internal means.  The other benefits that come along are : benefits from economies of scale, gaining a more dominant position in a national or global market and they'd acquire the skills or strengths of another firm to complement their existing search-engine business.

And who's to blame for this fiasco at Yahoo?  Well, the CEO/founder himself and his officers...Yahoo brought about its own destruction as they were tech savvy but financial knowledge they completely lacked.  How could anyone with such a dominating market share until 2001, in just 7 years fall in such a state??  If this is how new-age business' come and fall from dominance, then the IT major in college is a field we should ask our Nepali peers to start avoiding as the uncertainty is certainly not worth it.
